Terms and Conditions
Effective Date: January 1st, 2025
These Terms and Conditions (“Agreement”) govern all transactions between you (“Customer”, “Buyer”) and Frocil International (“Seller”, “we”, “us”, “our”) for the supply of products and services.
1. Eligibility and Regulatory Compliance
By placing order with us, you confirm that:
You are a licensed business entity (e.g., clinic, pharmacy, hospital, distributor).
You possess all required approvals, registrations, and licenses from relevant authorities (e.g., NPRA in Malaysia).
You agree to use or resell products in accordance with local laws and applicable health and safety regulations.
2. Orders and Acceptance
All orders must be submitted in writing via email, order form, or through our designated ordering platform.
Orders are subject to availability and written confirmation by us.
We reserve the right to partially fulfil, reject, or cancel any order without liability if supply constraints or regulatory limitations occur.
3. Pricing & Payment Terms
All prices are quoted in the currency stated in the relevant documentation and are exclusive of tax, shipping, and other applicable charges unless stated otherwise.
Wholesale pricing is provided on a quotation basis and is subject to change without prior notice.
Payment terms are Full Payment Before Delivery unless otherwise agreed in writing.
Late payments are subject to a 5% late fee per month on the outstanding balance.
4. Minimum Order Requirements
A minimum order value (depending on products) applies to all wholesale purchases.
Bulk or tiered pricing may apply depending on the volume and product category.
5. Delivery and Risk
Delivery dates are estimates and not guaranteed. We are not liable for delays caused by third parties, customs, or force majeure.
Risk of loss and title passes to the buyer upon delivery to the specified location or to the courier.
Buyers are responsible for unloading, inspecting, and storing products appropriately upon receipt.
6. Inspection and Claims
All goods must be inspected upon receipt.
Claims for damage, defects, or discrepancies must be made in writing within 3 working days of delivery, along with supporting documentation (e.g., photos, delivery note).
No claims will be entertained beyond this period.
7. Returns and Refunds
Returns are not accepted unless the product is defective, damaged in transit, or delivered in error.
Returned goods must be unopened, in original condition, and accompanied by a return authorization issued by us.
Approved refunds or replacements will be issued after inspection.
8. Product Use and Liability
The buyer assumes responsibility for ensuring that products are used or sold according to applicable laws, manufacturer instructions, and regulatory guidelines.
We are not liable for misuse, storage errors, or off-label application.
Our maximum liability is limited to the value of the goods supplied under the relevant invoice.
9. Confidentiality
Wholesale pricing, trade terms, and documentation are confidential. You agree not to disclose such information to third parties without our written consent.
10. Intellectual Property
All product names, trademarks, branding, and marketing materials provided remain the property of their respective owners or our company. Unauthorized use is prohibited.
11. Termination
We reserve the right to terminate or suspend supply if:
The buyer violates any terms of this agreement.
Payments are overdue.
Regulatory concerns arise regarding the buyer's eligibility or licensure.
12. Force Majeure
We shall not be held liable for failure to fulfil obligations due to events beyond our control, including but not limited to pandemics, natural disasters, supply chain disruption, or government restrictions.
13. Governing Law & Dispute Resolution
This Agreement is governed by the law. Any disputes arising shall be settled through good-faith negotiation. Failing that, the matter shall be referred to the related judiciary bodies.
